TERMS OF SERVICE FOR MyBookkeepingApp

By accessing or using the Service, you (“you” or “User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree with these Terms, do not use the Service.
1. DESCRIPTION OF SERVICE
MyBookkeepingApp is a free web application that allows you to design your own custom bookkeeping system. We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.
2. USER CONTENT
- Ownership: You retain ownership of any content you submit, post, or display on or through the Service (“User Content”).
- License: By submitting, posting, or displaying User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display such User Content for the purpose of operating and providing the Service.
- Responsibility: You are solely responsible for your User Content and the consequences of submitting, posting, or displaying it. You represent and warrant that you have all necessary rights, licenses, and permissions to your User Content.
- Prohibited Content: You agree not to submit, post, or display any User Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
3. RESTRICTIONS ON USE
In addition to all other terms and conditions of this Agreement, you shall not:- Use the Service for any unlawful purpose or in any way that violates these Terms.
- Attempt to gain unauthorized access to any portion of the Service.
- Interfere with or disrupt the Service or servers or networks connected to the Service.
- Use any automated means, including robots, spiders, or scrapers, to access the Service without our express written permission.
- Distribute spam, viruses, or other harmful computer code.
- Impersonate any person or entity.
- copy the Service, except as expressly permitted by this Agreement.
- modify, translate, adapt or otherwise create derivative works or improvements, whether or not patentable, of the Service.
- reverse engineer, disassemble, integrate, modify, remove, decompile, decode, create derivative works or updates of, adapt, or otherwise attempt to derive or gain access to the source code of the Service or any part thereof.
- remove, delete, alter or obscure any trademarks or any copyright, trademark, patent or other intellectual property or proprietary rights notices from the Service, including any copy thereof.
- rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make available the Service or any features or functionality of the Service, to any third party for any reason, including by making the Service available on a network where it is capable of being accessed by more than one device at any time.
- remove, disable, circumvent or otherwise create or implement any workaround to any copy protection, rights management or security features in or protecting the Service
4. INTELLECTUAL PROPERTY NOTICES
The Service and all worldwide copyrights, trade secrets, and other intellectual property rights therein are the exclusive property of 11050940 Canada Inc. 11050940 Canada Inc. reserves all rights in and to the Service not expressly granted to you in these Terms.
You hereby unconditionally agree that all right, title and interest in the copyrights and other intellectual property rights in the Service reside with the 11050940 Canada Inc. The trademarks, logos, designs, and service marks appearing on the Service are registered and unregistered marks of 11050940 Canada Inc. Accordingly, nothing in these Terms or MyBookkeepingApp grants you any right to use any form of intellectual property contained within.
Therefore, all rights, titles, interests, and copyrights in and/or to the Service, including but not limited to all images, graphics, animations, audio, video, music, text, data, code, algorithm, and information, are owned by 11050940 Canada Inc. Accordingly, the Service is protected by all applicable copyright laws and international treaties, and you are expected to use the Service concerning all intellectual property contained therein, except as otherwise provided for in these Terms.
5. SAMPLES AND SERVICE DOCUMENTATION
The Service may provide samples(including sample books), instructional documentation or videos for the sole purpose of demonstrating and/or explaining the capabilities of the Service. Samples, documentation or videos provided by the Service are not intended to be used as financial or bookkeeping advice.
6. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
7. LIMITATION OF LIABILITY
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED Zero Dollars. Because this is a free service, you agree that zero dollars is acceptable.
8. INDEMNIFICATION
You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including attorneys’ fees) arising out of or in connection with your use of the Service or your violation of these Terms.
9. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitute your acceptance of the new Terms.
10. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of province of Ontario in the country of Canada, without regard to its conflict of law principles.

12. ENTIRE AGREEMENT
